- 1. Introduction
Welcome to Concrix Malaysia (“the Platform”), a marketplace operated by Concrix Malaysia Sdn. Bhd. (“we,” “us,” or “our”). This Platform serves as a venue to connect sellers (“Sellers,” “you”) who have excess, used, or repurposed construction materials with buyers (“Buyers,” “you”) who wish to purchase these materials.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“T&C”), our Privacy Policy, and our Return Policy. If you do not agree with any part of these T&C, you must cease use of the Platform immediately.
2. The Concrix Malaysia Service
a. Our Role as a Venue:
The Services provide a venue for users to interact with each other, and to buy and sell items. We are a third-party marketplace and sales agent, but we are not directly involved in transactions between users. The actual contract of sale is solely between the users. We are not a party to this contract.
b. Limitation of Liability:
Consequently, we have no control over, and you agree that we are not responsible or liable for, any of the following:
i. The quality, safety, morality or legality of any aspect of the items listed.
ii. The truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items.
iii. Any content posted by users.
iv. While we endeavour to keep the Services safe for everyone, your use of the Services and your interactions with other users are entirely at your own risk.
3. User Accounts
a. Registration:
To use the Platform’s services, you must register for an account. You represent and warrant that all information you provide is accurate, up to date, truthful and complete. If you are representing an entity, you have the authority to bind the entity to these Terms.
b. Account Security:
You are responsible for all activities and transactions under your Account. You agree to keep your password secure and your account information up to date at all times. We will not be responsible in any way if your password and/or Account are misappropriated or used by a third party.
c. Multiple Account:
You shall not set up multiple Accounts, and you shall not lend, transfer or sell your Account or user ID to another party without our express permission.
4. Listings and Transactions
a. Seller’s Obligations:
Sellers must provide the following for each items:
i. Item description;
ii. Item condition (new, used or repurposed);
iii. High resolution photos;
iv. Item quantity; and
v. Item estimated price.
All content contained in a listing must be true, complete, accurate and not misleading in any manner whatsoever. All materials listed must be construction-related and suitable for repurposing or reuse. Sellers must comply with the Return Policy.
b. Verified Seller:
A ‘Verified Seller’ badge on Concrix indicates that the seller has provided valid SSM registration and proof of stock ownership. Verified Sellers agree to a Zero-Misrepresentation Guarantee.
c. Listing Content:
You agree that all content you post on the Platform, including images and descriptions, is owned by you or you have the right to use it. You grant us a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, display, and distribute your content on the Platform and for marketing purposes.
d. Transaction Process:
i. Listings on our Platform constitute an “invitation to treat,” not a binding offer.
ii. A transaction is formed when the Buyer and Seller agree on the price and terms of sale through our Platform’s system.
iii. We will generate a transaction invoice detailing the agreed price and our service fee.
iv. The sale is conditional upon the Buyer’s pre-loading inspection as detailed in our Return Policy.
5. Fees and Payment
a. Service Fee:
We charge a service fee for each successful transaction. This fee is a percentage of the final agreed price and is deducted from the payment made by the Buyer. You acknowledge and agree that all fees and charges paid by you to us are non-refundable, except as expressly set out in these Terms.
b. Payment Processing and Fund Security:
We utilize a third-party payment processor to facilitate all transactions. When a transaction is initiated by a Buyer, the payment is securely held in our system. The funds are only released to the Seller after the Buyer has conducted the pre-loading inspection and the transaction is successfully completed.
c. Refunds for Unsuccessful Transactions:
In the event that a transaction is not completed (e.g., the pre-loading inspection fails and the buyer refuses the materials), the funds will be fully refunded to the Buyer in accordance with our Return Policy. This ensures that the Buyer’s money is protected until they have accepted the materials as being in a satisfactory condition.
d. Liability:
While we take steps to ensure the security of funds held in our system, we are not liable for any issues, errors, or security breaches caused by the third-party payment processor. By using our services, you agree to be bound by the payment processor’s terms and conditions.
e. Taxes:
You are responsible for all taxes, duties, and other fees associated with your use of the Platform and any transactions conducted. This includes, but is not limited to, Sales and Service Tax (SST), if applicable.
6. Delivery and Transport
a. Delivery is Optional:
Transportation of materials is an optional service facilitated by us through a third-party provider.
b. No Liability for Transport:
We are not the transporter of the materials. We act solely as a facilitator to connect you with our third-party provider. Any issues, including damage or delays during transit, are the responsibility of the Buyer to resolve directly with our third-party providor in accordance with their terms of service.
c. Cost Pass-Through:
The cost of transport is a direct pass-through to the Buyer and is non-refundable.
7. Returns, Refunds, and Disputes
a. Final Sale:
All sales are final and non-refundable, subject to our Return Policy.
b. Dispute Resolution:
Without prejudice to our Return Policy, if you are in dispute with a user of our Services, you are encouraged to contact that user to resolve the situation amicably. If the dispute is notified to us, we will attempt in good faith to facilitate resolution of the dispute but are under no obligation to resolve the same. You release us from any claims, demands and damage arising out of your disputes with users of our Services. Our decision, if we choose to intervene, is final and binding on both parties.
8. Intellectual Property
a. Platform Content:
You acknowledge and agree that the Services and all content on the Platform, including text, graphics, logos, images, software, copyright, patents, trademarks, trade secrets and other intellectual property rights associated therewith are, and shall remain, the property of Concrix Malaysia Sdn. Bhd..
b. Your Content:
You retain ownership rights in the Content which you upload or share on the Services. You grant us a worldwide, fully-paid, royalty-free, sub-licensable, and transferable license to host, store, use, display, reproduce, modify, adapt, edit, publish and distribute such Content for the purpose of operating, developing, providing, promoting, and improving the Services. You are solely responsible for the Content which you post or share on or through the Services.
c. Trademarks:
The name “Concrix Malaysia,” our logo, and all related names, designs, and slogans are trademarks of Concrix Malaysia Sdn. Bhd.. You may not use these marks without our prior written permission.
9.Prohibited Activities
You agree not to use the Platform for any of the following:
a. Upload any content that violates or infringes another party’s intellectual property rights.
b. Use the Services for any purpose for which it is not designed or intended.
c. Upload to, or transmit through the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.
d. Use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Services.
e. Allow your use of the Services to present to us a risk of non-compliance with anti-money laundering, counter terrorist financing and similar regulatory obligations.
f. Engage in any activity or act that is intended to abuse, abuses or inappropriately manipulates any promotion, campaign and/or discount codes offered through the Services, including creating fake or duplicate accounts.
g. Listing illegal, hazardous, or stolen materials.
h. Using the platform to conduct a private sale outside of the marketplace to avoid our fees.
i. Posting obscene, defamatory, or offensive content.
j. Infringing upon the intellectual property rights of others.- k. Interfering with the operation of the Platform or its users.
10. Suspension and Termination of Account
a. We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these T&C.
b. If your account is suspended or terminated due to a breach of these Terms, you will not receive any refunds of any fees paid.
c. You acknowledge and agree that if we suspend or terminate your Account, you will lose any information associated with your Account, including Content.
11. No Warranty
You acknowledge and agree that the Services are provided on an “as is” and “as available” basis and that your use of or reliance upon the Services and any content, products and services accessed is at your own risk and discretion. We do not represent or warrant that the use of this Services will be secure, timely, uninterrupted or error free.
12. Limitation of Liability
You acknowledge and agree that your only right with respect to any problems or dissatisfaction with the Services is to request for termination of your Account and/or discontinue any use of the Services.
13. Indemnity
You will indemnify and hold harmless Concrix Malaysia Sdn. Bhd., its subsidiaries, affiliates, partners, suppliers, licensors, shareholders, officers, employees, independent contractors and agents from and against any and all actions, claims, proceedings, damages, losses, costs and expenses resulting from: (a) your use of the Services; (b) your Content; (c) any use of your Account; (d) your breach of these Terms; or (e) your violation of any rights of another person or entity.
14. Governing Law and Jurisdiction
You hereby agree that the laws of Malaysia shall govern this Terms and that the courts of Malaysia shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
15. Changes to the T&C
We reserve the right to modify these T&C at any time. We will notify you of any changes by posting the updated T&C on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the new T&C.
